Notice of Annual General Meeting

Notice is hereby given for the holding of the Annual General Meeting of Yass Music Club.

Place: The Mary Curll Room, St Clements Anglican Church, cnr Church and Rossi Sts Yass
AGENDA

  1. Welcome by President.
  2. Apologies and attendance (please fill in your name on the attendance list).
  3. Confirmation of Minutes of previous AGM, held Thursday 8 June 2023.
  4. To receive and consider the following reports for the period ended 30 June 2024 and, if
    thought fit, to accept them:
     President’s report
     Treasurer’s report, including the Financial Report for the period ended 40 June 2024
     Music Director’s report
     Scholarships report.
  5. Election of Office Bearers and Committee Members
     Election of President
     Election of Vice-President
     Election of Secretary
     Election of Treasurer
     Election of Ordinary Committee Members.
  6. Other business

A Committee nomination form is provided with this notice. The agenda, nomination form and
minutes of the 8 June 2023 AGM will be posted on the Club’s web site, yassmusicclub.com.

MINUTES 2023 AGM

8 June 2023
The meeting commenced at 7.30 pm.

  1. Attendance
     Present: Peter Crisp (Chair), Jenny Brookes, Keith Campbell, Aedeen Cremin,
    Mitchell Fleming, Margaret Hanson, Ann Holmes, Stephe Jitts, Karina Jitts, Peter
    Jones, Edgar Mongan, Margaret Olson, Chris Rose, Peter Rose, Ian Wearing, Alex
    Webbe, John Whiteley, Ros Whiteley, Geoff Brookes.
     Apologies: Julie Campbell, Linda Maxwell, Philip Willis, Kate Wilson.
  2. Confirmation of minutes of previous meeting
     Meeting held on 23 June 2022.
     Moved Stephe Jitts, seconded Peter Jones and carried: that the minutes be
    accepted.
  3. President’s Report
     Peter Crisp tabled and spoke to his report (attached).
     Moved Peter Crisp, seconded Edgar Mongan and carried: that the report be
    accepted.
  4. Treasurer’s Report
     Edgar Mongan also presented the audited Financial Report for the year ended
    31 December 2022. He noted the operating deficit of $1,026 was due in part to
    the increasing cost of artists. Year-end funds were $32,614.19 and total
    membership 149.
     Moved Edgar Mongan, seconded Ann Holmes and carried: that the report be
    accepted.
  5. Music Directors’ Report
     Peter Jones tabled and spoke to the report (attached).
     Moved Peter Jones, seconded Alex Webbe and carried: that the report be
    accepted.
  6. Scholarships Report
     Ann Holmes presented the report (attached).
     Moved Ann Holmes, seconded Edgar Mongan and carried: that the report be
    accepted.
  7. Election of Office Bearers and Committee Members
    The President declared all positions vacant and Peter Jones took the chair for the
    election of the President. The President then conducted the elections for the remaining
    office bearers and committee members. The following were nominated:
     President: Peter Crisp, nominated by Ann Holmes, seconded by Peter Jones.

 Vice-Presidents: Peter Jones, nominated by Ann Holmes, seconded by Julie
Campbell; Ann Holmes, nominated by Peter Jones, seconded by Edgar Mongan.
 Secretary: Geoff Brookes, nominated by Kate Wilson, seconded by Julie
Campbell.
 Treasurer: Mitchell Fleming, nominated by Edgar Mongan, seconded by Peter
Jones.
 Music Directors: Peter Jones, nominated by Ann Holmes, seconded by Julie
Campbell; Stephe Jitts, nominated by Geoff Brookes, seconded by Peter Jones.
 Committee Members: Julie Campbell, Margaret Hanson, Linda Maxwell, Ian
Wearing, John Whiteley, Ros Whiteley, Kate Wilson.
As there were no other nominations, all were declared elected.

  1. Appointment of Auditor
     Moved Edgar Mongan, seconded Peter Crisp and carried: that T.L. Parker and
    Co. be appointed as auditors.
  2. Special Resolution
     Geoff Brookes outlined the background to the special resolution and tabled a
    summary of the major differences between the current and new model
    constitutions.
     Moved Geoff Brookes, seconded Stephe Jitts and carried unanimously: that Yass
    Music Club adopt without alteration the Model Constitution prepared by NSW
    Fair Trading as released on 1 September 2022.
  3. Membership Fees for 2024
     There was considerable discussion including: increased artists’ costs, the need
    to at least cover costs, average costs per concert, the risk of losing members if
    fees are raised significantly, hall seating capacity, the possibility of sponsored
    concerts.
     Moved John Whiteley, seconded Edgar Mongan and carried: that the committee
    consider changes to the fee structure and take a recommendation to a general
    meeting of members.
    The meeting closed at 8.35 pm.
